Terms of Service

These Terms govern your use of waybill.ge, a hosted multi-tenant service that wraps the Georgian Revenue Service (rs.ge) waybill SOAP API for use by AI agents via the Model Context Protocol (MCP). By creating an account or otherwise using the service you agree to these Terms. If you do not agree, do not use the service.
1. Eligibility and your account
- You must be authorized to enter into a binding agreement, and (for business use) authorized to act for the legal entity whose rs.ge service-user credentials you connect.
- You are responsible for the security of your account password and any API keys you generate. Notify us at hello@waybill.ge promptly if you suspect either has been compromised.
- One waybill.ge account is one tenant. Multi-account rs.ge support is not part of the launch scope.
2. The service in plain terms
- You provide rs.ge service-user credentials so waybill.ge can call rs.ge on your behalf. We never share those credentials with AI clients you connect, and we encrypt the service-user password at rest (Fernet).
- You authorize an MCP client (such as Claude or Codex) to call our tools. Each tool wraps a specific rs.ge operation (read a waybill, save a draft, activate it, close it, etc.). The full list and contract for each tool is documented in the MCP surface itself.
- Tool calls count against the monthly quota of your plan (Trial / Starter / Pro / Agency). One MCP tool call = one quota event, regardless of how many sub-requests we make to rs.ge internally.
3. Acceptable use
You agree NOT to:
- Use the service to issue, activate, or modify waybills you do not have legal authority to issue.
- Attempt to gain access to other tenants' data, API keys, or credentials.
- Reverse-engineer or bypass the quota / rate limits, or share API keys outside your organisation.
- Use the service to produce waybills, invoices, or other tax documents that you know to be inaccurate.
- Probe or attack the service in ways that affect other tenants, including denial-of-service attempts.
4. AI clients
AI agents you authorize (Claude, Codex, etc.) act on your behalf when they call our tools. You remain responsible for the consequences of those calls - including, but not limited to, activating a waybill on rs.ge (which is a legally meaningful act under Georgian tax law). waybill.ge encourages an explicit user-confirmation step between drafting and activation, and our prompts ship that pattern; you may not bypass that protection in a way that lets an AI agent activate a waybill without your consent.
5. Plans, billing, and cancellation
- Plans (Trial / Starter / Pro / Agency) and their quotas / prices are published on the landing page and on /dashboard/billing. Pricing is in GEL.
- Paid subscriptions are processed by our payment processor. They receive the order amount, currency, and your contact email; they issue you their own receipt.
- Subscriptions auto-renew at the end of each billing period unless you cancel. You can request cancellation by emailing hello@waybill.ge; we'll respond with the next steps. If we ship a self-serve cancel button later, this paragraph will be updated.
- Refunds: contact us within 14 days of a charge you believe was made in error; we will refund material errors. We do not refund used quota or partial periods unless required by law.
- We may change plan pricing for future billing periods with at least 14 days' notice via email. Existing periods stay at the price you were charged.
6. Availability and limits
- We aim for high availability but do not commit to a formal SLA at launch.
- We depend on rs.ge being reachable for any tool that calls it; we cannot offer credit for downtime caused by rs.ge.
- Quota overage: calls past your plan's monthly limit are rejected with a structured error. Upgrade your plan or wait for the next period to resume.
7. Intellectual property
waybill.ge's software, copy, brand, and documentation are the property of the operator. Your data is yours. Nothing in these Terms transfers ownership of your data to us; we only hold it long enough to operate the service on your behalf, subject to the Privacy Policy.
8. Warranties and disclaimers
The service is provided "as is" and "as available." To the maximum extent permitted by Georgian law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will catch every possible rs.ge validation error before submission.
9. Limitation of liability
To the maximum extent permitted by Georgian law, our aggregate liability arising out of or relating to the service in any 12-month period will not exceed the amount you paid us for the service in that period. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
This limit does not apply where Georgian law disallows it (e.g. gross negligence or wilful misconduct).
10. Termination
- You may stop using the service at any time. To delete your data, email hello@waybill.ge (see Privacy Policy §7).
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to other tenants or to the service. Where practical we will give you notice and a chance to cure.
11. Governing law and disputes
These Terms are governed by the laws of Georgia. Disputes arising out of or relating to the service will be resolved in the competent courts of Tbilisi, Georgia.
12. Changes to these Terms
Material changes will be announced on this page with a new "Last updated" date. We'll also email registered tenants for changes that affect billing, data handling, or acceptable use. Continued use after a change constitutes acceptance.
